Diligent Conference Terms & Conditions

The following Diligent Conference Terms and Conditions (“Terms”) apply to you and your participation in any Diligent Conference, regardless of whether your registration is submitted by you or your proxy. “Attendee” means all participants at the Conference. “Conference” means the Diligent organized event (whether in-person or virtual) Attendees are participating in. These Terms include and incorporate by reference Diligent’s Privacy Policy (https://www.diligent.com/privacy-policy). Diligent reserves the right to change these Terms and its policies from time to time in its sole discretion.
This Conference is organized by Diligent, which reserves the right, in its sole discretion, to limit or deny access to any entity or individual. To be eligible to participate, you must be 21 years old or older.
Conferences Registration
Attendee Cancellation Policy
If circumstances change and you can no longer attend this Conference, you may cancel your registration by providing written notice to Diligent at mgs@diligent.com. Our attendee cancellation policy is outlined below.  Registrations may be refunded if an Attendee provides notice of cancellation in writing no less than fifteen (15) calendar days prior to the Conference start date. No refunds of any kind shall apply for cancellations received after that date or for any other nonattendance. The registration amount remains due and owed in full for cancellations received after the cutoff date with a balance outstanding. Cancelling Conference registration does not automatically cancel Attendee hotel and travel arrangements. Attendees remain responsible for their hotel and travel reservations.
Diligent Cancellation Policy
In the event Diligent cancels a Conference, Diligent shall provide an Attendee a refund of the fees prepaid by Attendee to Diligent to attend the Conference.
Force Majeure
Except for fees due or owing, neither Attendee nor Diligent will be responsible for failure of performance, other than for an obligation to pay money, due to causes beyond its control, including: acts of God or nature; labor disputes; sovereign acts of any federal, state or foreign governments; network and/or computer failure or shortage of supplied materials (“Force Majeure Event”).
Substitution and Badge Policy
Substitution of registrations requires approval by Diligent. “No Shows” will be deemed a cancellation per the Attendee Cancellation Policy listed above. Sharing of Attendee passes is not permitted at any time. Badges are issued to, can be picked up by, and used by only the Attendee named in the registration. Photo ID will be required for each Attendee when collecting a badge onsite. Badges must be worn at all times while onsite during a Conference. A Diligent Conference badge allows an attendee onsite entry to the overall Conference but cannot guarantee admission to every session, lounge, or meeting area. Admission is subject to venue capacity and other requirements, and certain sessions may be restricted from Attendees.
Payment Terms
Submission of a registration online, by phone or email, constitutes an official registration and intent to attend the Conference.  Diligent must receive full payment in order for an Attendee to gain entry to the Conference.
At the Diligent Conference
Guest Speakers/Materials
Guest speakers at Diligent Conferences are not employees of Diligent and Diligent neither pre-reviews nor comments on the content of guest speaker sessions. Speaker views and opinions are entirely their own and in no way reflect the views and opinions of Diligent. Attendee may receive access to Diligent and third-party licensed content (“Presentation Materials”) during the Conference. Diligent is not liable for the information in the Presentation Materials. Attendees may use these presentations as well as session audio/video recordings where available solely for their own internal, non-commercial purposes. Unauthorized distribution (via sales, copying, posting on intranet/internet) of such materials is expressly forbidden.
Use of Multimedia
By attending the Conference, Attendee acknowledges and agrees as follows: (a) Diligent may edit and use materials it captures at Diligent Conferences, including Attendee’s participation, name, voice, and likeness, for marketing and promotional activities and for any other lawful purpose in the ordinary course of its business; and (b) Diligent disclaims all liability for the capture of materials by other Attendees in any multimedia format at the Conference, including Attendee’s participation, name, voice, and likeness. Attendee’s use of multimedia at the Conference shall at all times be in accordance with Diligent’s instructions. For virtual Conferences, Diligent prohibits the use of screen shots and/ or any other similar technology to capture proprietary content and images.     Further, Attendee acknowledges that Diligent may make use of certain technological platforms in order to enable the Conference and make content available to Attendees. Attendee’s use of such platforms is necessary to receive such content for the Conference.
Limitation on Liability; Warranties
IN NO EVENT WILL Diligent BE LIABLE OR RESPONSIBLE TO ATTENDEE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES; or FOR LOSS OF PROFITS, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, OR BUSINESS INTERRUPTION, IN EACH case ARISING OUT OF OR IN ANY WAY RELATED TO THE CONFERENCE. IN NO EVENT WILL THE AGGREGATE LIABILITY OF Diligent (TO THE EXTENT NOT DISCLAIMED in accordance with the foregoing sentence) ARISING OUT OF OR IN CONNECTION WITH THE CONFERENCE (WHETHER CAUSED BY BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE OR BREACH OF STATUTORY DUTY OR ARISING IN ANY OTHER WAY)) EXCEED THE TOTAL FEES PAID OR PAYABLE TO Diligent by ATTENDEE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DILIGENT DISCLAIMS ALL WARRANTIES, UNDERTAKINGS, REPRESENTATIONS, CONDITIONS AND ALL OTHER TERMS, WHETHER, EXPRESS, IMPLIED OR STATUTORY.
Diligent Conference Code of Conduct
Diligent is committed to providing a safe, productive, and welcoming environment to all participants at its Conferences. This Diligent Conference Code of Conduct (“Code”) outlines Diligent’s expectations for all Attendees at Diligent Conferences. Conference organizers will enforce this Code and expect cooperation from all Attendees to help Diligent promote a safe environment and a productive Conference experience for everyone. By way of example and not limitation, Attendees shall:
  • Maintain a respectful, considerate, and courteous attitude towards others online, at the conference, and the venue;
  • Secure your belongings and be mindful of your surroundings and fellow participants;
  • Comply with instructions from Diligent personnel;
  • Notify conference organizers in a prompt manner of concerning or dangerous situations; and
  • Provide clear, valuable, honest information.
By way of example and not limitation, Attendees shall not:
  • Demean, discriminate, abuse, harass, or threaten others online, at the conference, and the venue;
  • Spam conference participants;
  • Post content that is obscene or otherwise objectionable;
  • Act in a manner that could draw Diligent into any disrepute or that jeopardizes the goodwill inherent in Diligent’s name, logo or trademarks;
  • Distribute copyrighted content which the Attendee does not have rights to.
Reporting Violations of this PolicyIf you have been (or notice that someone else has been) impacted by someone failing to adhere to this Code or have additional concerns, please contact Diligent. In the event of an emergency situation, please contact local authorities immediately.
Consequences of Violating this Policy
Unacceptable behavior will not be tolerated at Diligent Conferences. Anyone engaged in unacceptable behavior, including a violation of the Diligent Conference Code of Conduct, may be suspended or expelled from the Conference without warning or refund in Diligent’s sole discretion. Any such person may also be prohibited from registering or attending future Diligent Conferences in Diligent’s sole discretion.  
Disputes
The interpretation of these Terms and all matters related to these Terms will be construed in accordance with the laws of the State of Delaware without reference to the choice-of-law provisions of Delaware law. The parties agree that any dispute arising under this Agreement (other than a claim for injunctive relief) shall be resolved by a process of mediation followed by binding arbitration in accordance with JAMS Streamlined Rules. Arbitration shall be conducted by one (1) arbitrator, chosen in mutual agreement by the parties; in the event the parties are unable to agree on an arbitrator within fifteen (15) business days after receiving notice to such effect, JAMS may appoint the arbitrator on behalf of the parties. The parties further agree that the location of any such mediation or arbitration shall be Wilmington, DE.  
Health and Safety
All in-person Attendees are required to provide proof of full and up to date COVID-19 vaccination with an approved or authorized vaccine to attend the Conference. Full and up to date COVID-19 vaccination and approved or authorized vaccines shall be understood to refer to current Center for Disease Control guidance regarding the same. Attendees shall provide proof of vaccination in the form requested by Diligent. Further, while indoors in public spaces all in person Attendees of the Conference are required to wear a well-fitted mask.

The health and well-being of all Attendees is a key consideration for Diligent. Prior to attending each day of the Conference, Diligent requests that all Attendees conduct a health self-screen and not to attend if they do not feel well. Further, by attending the Conference, you agree that you do not currently have any symptoms of COVID-19, you have not tested positive within 14 days or have been tested or are awaiting the results of a COVID-19 test, and your close contacts have not tested positive in the last fourteen days or displayed any symptoms of COVID-19. If after attending the Conference you do test positive for COVID-19, then please inform Diligent.

Diligent may in its sole discretion make exceptions to the requirements of this Section for individual Attendees that request reasonable accommodations.
