Diligent Corporation (“Diligent”) Publicity Release:

1.     In exchange for valuable consideration, I hereby agree to allow Diligent and its Representatives (as hereinafter defined) to take and use photographs, video or sound recordings of my likeness, picture, appearance, performance, voice, statements, and any other aural or visuals aspects of my person (collectively, “Recordings”) on September 13-15, 2023 at the Modern Governance Summit 2023 Conference. Such usage includes, but is not limited to, advertising, publicity and promotional use by Diligent. I hereby grant to Diligent and its Representatives the perpetual and irrevocable right to copyright and use, re-use, publish, and republish at any time Recordings of me or in which I may be included, or materials provided by me, in whole or in part, and all other similar such rights to use the Recordings anywhere in the world.

2.     To the fullest extent allowed by law, for myself and on behalf of my heirs, executors, agents, successors or assigns, I hereby release, hold harmless and indemnify Diligent, its officers, directors, employees, agents, affiliates, and all other parties in interest (collectively, “Representatives”) from any and all claims and demands arising out of or in connection with such use of the Recordings including, without limitation, any and all claims for invasion of privacy, infringement of my right of publicity, defamation (including libel and slander) and any other personal and/or other property rights, and any other grievances, damages, or causes of actions that I may have arising out of or in connection with such use, and I agree that I shall not now or in the future assert or maintain any such claim against Diligent; provided, however, Diligent and its Representatives will not willfully use the Recordings maliciously or in a manner designed to put me in disrepute. I agree that no compensation, royalty or payment will be made to me or any third party in exchange for agreeing to the terms of this Publicity Release. I acknowledge that I shall not be deemed to be an employee of Diligent nor shall I be entitled to the benefits provided by Diligent to its employees.

3.     I further consent that Diligent and its Representatives shall have the absolute right and permission to modify, distribute, publish, use, sell, or assign any and all Recordings, whether apart from or in connection with written matter, stories or news items, for trade, advertising, or for any other purpose, including in conjunction with my name or other biographic information. I further agree that Diligent and its Representatives may reference my title, employer's name and logo in connection with the Recordings. I hereby waive any rights that I may have to inspect and/or approve any finished product or any material that may be used in connection therewith or the use to which it may be applied. I understand and agree that Diligent has no obligation to actually use the Recordings.

4.     I acknowledge that I am at least 18 years of age and have full power and authority and capacity to enter into the terms of this release on my own behalf. This Publicity Release shall be interpreted, construed and enforced in accordance with the laws of the State of New York except for its conflicts of laws principles, and I hereby irrevocably consent to the exclusive jurisdiction of the courts situated in New York over all disputes relating to this Publicity Release. If any part of this Publicity Release is deemed unenforceable, the other parts shall be given full force and effect. I have read the terms of this Publicity Release before signing and I fully understand their contents, meaning and effect. I represent I have the full right, power, and authority to enter into and perform the obligations under this Publicity Release and to grant the rights, licenses, consents, and authorizations provided to Diligent under this Publicity Release.
